§ 1 Scope
These General Terms and Conditions (GTC) apply to all services provided by Thorsten Lange Schleiftechnik – STEIZL, Luhden, Lower Saxony (hereinafter the „Contractor“) to entrepreneurs within the meaning of § 14 of the German Civil Code (BGB) (hereinafter the „Client“). Deviating terms and conditions of the Client are not recognised unless the Contractor expressly agrees to their application in writing.
§ 2 Subject Matter of the Services
The Contractor provides services in the field of maintenance, repair and servicing of sanding machines, as well as the supply of wear parts and spare parts. The precise scope of services is set out in the respective quotation or order confirmation.
§ 3 Quotations and Conclusion of Contract
The Contractor’s quotations are subject to change and non-binding. A contract is concluded only upon the Contractor’s written order confirmation or upon commencement of the performance of the services.
§ 4 Prices and Payment
The prices stated in the quotation apply, plus statutory VAT. Unless otherwise agreed, invoices are payable within 14 days of the invoice date without deduction. In the event of late payment, default interest at the statutory rate will be charged.
§ 5 Delivery and Performance
Unless expressly designated as binding, delivery dates and performance periods are non-binding guide values. The Contractor is not liable for delays caused by force majeure, supply shortages or other circumstances for which the Contractor is not responsible.
§ 6 Warranty
For defects in services rendered or parts supplied, the statutory warranty period of 12 months from acceptance or delivery applies. Defects must be reported in writing without undue delay after their discovery. The Contractor is entitled, at its own discretion, to provide subsequent performance (rework) or a replacement delivery.
§ 7 Limitation of Liability
The Contractor is liable without limitation in cases of intent and gross negligence, as well as for culpable injury to life, body or health. In all other respects, liability is limited to the typically foreseeable damage. Any further liability is excluded.
§ 8 Retention of Title
Delivered goods remain the property of the Contractor until full payment has been made. The Client is not entitled to pledge goods subject to retention of title or to assign them as security.
§ 9 Data Protection
Personal data is processed in accordance with our privacy policy and the applicable data protection regulations (GDPR). Further information can be found in our Legal Notice & Privacy Policy.
§ 10 Place of Jurisdiction and Applicable Law
German law applies exclusively, to the exclusion of the United Nations Convention on Contracts for the International Sale of Goods (CISG). Insofar as the Client is a merchant, the place of performance and the exclusive place of jurisdiction for all disputes arising from the contractual relationship is the Contractor’s registered office in Lower Saxony.
§ 11 Severability Clause
Should individual provisions of these GTC be or become invalid or unenforceable, the validity of the remaining provisions shall remain unaffected.
